This page provides information and key documents relating to the proposed transfer of business by the Transferors to the Transferee.

The Transferors and the Transferee are all UK indirect wholly owned subsidiaries of Enstar Group Limited.  The Transferors and the Transferee have applied to the High Court of Justice for an Order under Part VII of the Financial Services and Markets Act 2000 sanctioning a scheme providing for the transfer of the entire insurance and/or reinsurance business of each of the Transferors to the Transferee.  

The purpose of the transfer is to consolidate the run-off of the Transferors’ business into the Transferee to optimise the management of the parties’ business in a single entity, thereby increasing efficiency and reducing operational costs. 

The application is directed to be heard before the Companies Court Judge at 7 Rolls Buildings, Royal Courts of Justice, Fetter Lane, London EC4A 1NL, United Kingdom on 1 December 2025. Formal notice of the application to sanction the scheme can be found here:
